Sunnyfield (Sunnyfield) is a public company limited by guarantee registered with the Australian Securities and Investment Commission (ASIC) and is also registered as a charity with the Australian Charities and Not-for-Profit Commission (ACNC) and as a disability provider in accordance with the National Disability Insurance Scheme (NDIS). Sunnyfield was founded over 70 years ago to support people with intellectual disabilities, their families and carers.
Sunnyfield must comply with relevant legislation and has to adhere to the highest standards in governance, including to develop and manage continuous improvement and organisational risks through its frameworks, guidelines and review processes.
Constitution
Sunnyfield’s Constitution is dated 23 October 2024.
Sunnyfield’s Constitution sets out how we support people with intellectual disabilities, and others with disabilities, including their families and carers.
The Constitution is the contract between a company and its members, directors and secretary. It explains how Sunnyfield will be internally managed, including:
- Company governance
- Who can do what within the company
- Meetings for directors and members
- Membership and rights
- Other matters important to your company
Board Charter
The Board Charter aims to assist the Sunnyfield Board in the delivery of good governance for Sunnyfield. It details the respective roles, responsibilities and authorities of the Sunnyfield Board (both individually and collectively) and management in setting Sunnyfield’s direction, management and control.
The Board Charter is subject to specific requirements of Sunnyfield’s Constitution.
Board of Directors
The Sunnyfield Board (Board) comprises a maximum of ten non-executive directors in accordance with its Constitution. The Board of Directors must be external to Sunnyfield’s management and comprise no more than three member directors.
The Board acts as the custodian for Sunnyfield members and its broader stakeholders, including its clients with intellectual disabilities, their families and carers, Sunnyfield’s supporters and the larger community in general. The Board is responsible for Sunnyfield’s governance and is committed to improving the lives of its members and clients, which underpins their decision-making.
